# Sample Agreement — TEMPLATE

**This is a plain-language template, not legal advice.** It is published so you
can see the terms before a conversation, and so you know nothing unusual is

## 1. Parties and scope

This agreement is between **Tech Hub Services** ("we") and the client named in
the accompanying proposal ("you").

The work is exactly what the proposal lists, and nothing outside it. Anything
you ask for later is quoted and agreed in writing before it is started — never
invoiced afterwards as a surprise.

## 2. Timeline

The proposal states a timeline in working days from the date the deposit is
received and the content we have asked for is supplied.

If we are waiting on content or feedback from you, the timeline pauses for that
period. If a delay is ours, it does not.

## 3. Price and payment

The price in the proposal is fixed for the scope in the proposal. Payment is
staged:

Invoices are due within 7 days. Prices exclude applicable taxes. Third-party
costs — domain, hosting, licences, ad spend — are yours directly and are not
marked up by us.

## 4. What you own

On receipt of final payment, you own outright:

- All code written for the project
- All content and design produced for you
- The domain and hosting accounts, registered in your name

We keep no lien, no lock and no hostage. You may take the project to another
developer at any time; we will hand over access and documentation.

We reserve only the right to show the work in our portfolio, and to describe
what we did. If you would rather we did not, say so and we will not.

## 5. What you are responsible for

- Supplying content, images and brand assets, or asking us to write a first
  draft
- Confirming you have the right to use anything you supply
- Nominating one person who can approve decisions
- Responding to questions within a reasonable time

## 6. Revisions

The proposal states how many rounds of revision are included at each stage.
Changing direction after a stage has been approved is new work, and is quoted
before it starts.

## 7. Support after launch

The proposal states a support period. During it we fix anything that does not
work as agreed, at no cost. New features are separate.

Bugs are our responsibility. Changes of mind are chargeable. We will always
tell you which one we think something is, and we will be reasonable about it.

## 8. Cancellation

Either side may end the project in writing.

If you cancel, you pay for work completed to that point and receive it. If we
cancel, we refund anything paid for work not delivered. Neither side owes the
other a penalty.

Monthly plans run month to month and end with 30 days' notice.

## 9. Confidentiality

Anything you tell us about your business stays between us. This continues
after the project ends.

## 10. Liability

We do our work carefully and to a professional standard. We cannot be liable
for indirect or consequential losses — lost profit, lost data, lost
opportunity — and our total liability is limited to the amount you have paid
us for the project.

We are not responsible for third-party services failing, though we will help
you deal with them.

## 11. Governing law

This agreement is governed by the laws of India, and the courts named in the
proposal have jurisdiction.
